13. Services and Payments

By engaging PrismX Media (“PrismX”) for any marketing, advertising, consulting, or creative services, you (“Client”) agree to the following terms regarding service delivery, payment, and responsibilities:

a. Scope of Services

All services will be governed by a mutually approved Scope of Work (SOW), service agreement, or proposal. The scope will outline the deliverables, timelines, and responsibilities of both parties. Any request outside the approved scope will require a written change request and may result in revised fees or timelines.

b. Retainers and Hourly Billing

PrismX offers both fixed monthly retainers and hourly billing models depending on the nature of the engagement.

  • Retainers: Monthly retainers are billed in advance and secure resource allocation for the duration of the agreement.
  • Hourly Projects: Tasks outside the scope or project-based work may be billed hourly at the agreed-upon rate.
  • Minimum Commitment: Certain services may require a minimum commitment period (e.g., 3 months for ad management), which will be clearly stated in the agreement.

c. Payment Terms

  • Advance Payment: Services may require partial or full advance payment before initiation.
  • Billing Cycle: Retainer clients will be invoiced monthly, typically at the start of each billing cycle.
  • Due Date: All invoices are due within 7 days unless otherwise stated.
  • Late Payments: PrismX reserves the right to charge a late fee of 2% per month on overdue invoices and may pause services if payment is not received on time.

c. Payment Terms

  • Advance Payment: Services may require partial or full advance payment before initiation.
  • Billing Cycle: Retainer clients will be invoiced monthly, typically at the start of each billing cycle.
  • Due Date: All invoices are due within 7 days unless otherwise stated.
  • Late Payments: PrismX reserves the right to charge a late fee of 2% per month on overdue invoices and may pause services if payment is not received on time.

d. Ad Spend Management

If PrismX manages paid advertising on platforms such as Google Ads, Meta, TikTok, or others

  • Separate Billing: Advertising spend will be billed directly by the platform to the Client’s funding source unless PrismX explicitly agrees to manage spend and recover it from the Client.
  • Budget Control: Client retains full responsibility for setting and approving ad budgets. PrismX is not liable for any overspending due to platform errors or credit card issues.

e. Refund and Cancellation

  • No Refunds: Payments made to PrismX are non-refundable once services have commenced. This includes strategy work, campaign development, or content production.
  • Cancellation Notice: Either party may terminate the agreement with written notice as per the cancellation period specified in the agreement (typically 30 days). Services rendered up to the cancellation date will be invoiced and payable.

f. Client Responsibilities

The Client is responsible for:

  • Providing all required access (e.g., social media pages, ad accounts, analytics platforms) in a timely manner
  • Delivering brand assets, approvals, and feedback to avoid delays
  • Ensuring their ad account complies with the respective platform’s terms and is not flagged or restricted due to past violations

Delays caused by the Client may impact performance timelines, for which PrismX will not be held accountable.

g. Performance Disclaimer

PrismX uses industry best practices and data-driven strategies to achieve optimal outcomes. However, we do not guarantee specific results such as sales, leads, follower growth, or ROAS, as these are subject to external variables (e.g., market dynamics, platform algorithm changes, ad fatigue, or product-market fit).

h. Ownership and Access

All deliverables (design files, strategy documents, ad copies, videos, and other assets) remain the intellectual property of PrismX until full payment has been received. Upon receipt of full payment, the Client will have ownership of the final approved deliverables. PrismX retains the right to display completed, non-confidential work in its portfolio, website, or marketing materials unless otherwise agreed upon in writing.
